1. Scope & acceptance
These Terms of Service ("Terms") govern your use of our website and any services we provide. By using the site, submitting an enquiry or engaging us for services, you agree to these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity.
2. Definitions
"We/Us" means Technosys Infoware Ltd. "You/Client" means the person or entity ordering or receiving services. "SOW" means a statement of work or written quote describing scope, deliverables, timelines and fees.
3. Website use
- You may use this site for lawful purposes only and not in a way that infringes others’ rights or restricts their use.
- Content on this site is provided "as is" for general information and may be changed or withdrawn without notice.
- We do not guarantee that the site will be uninterrupted or error‑free.
4. Quotes, SOWs & fees
- Catalog prices on the site are indicative and not binding offers.
- A project begins once you accept our written quote/SOW (including deliverables, assumptions, exclusions and payment schedule).
- Work outside scope is billable at our then‑current rates upon your approval.
5. Payments
- Unless stated otherwise in the SOW: 50% deposit to start, balance on final delivery/approval.
- Invoices are payable within 7 days. Late payments may incur interest at the statutory rate and/or suspension of services.
- Third‑party costs (e.g., domains, hosting, licences) are payable in advance and are non‑refundable once purchased.
6. Client obligations
- Provide timely access to information, content, brand assets and approvals. Delays in inputs may extend timelines.
- Ensure you have the necessary rights to all materials you supply to us.
- Appoint a single point of contact for decisions and feedback.
7. Intellectual property
- Your materials: You retain ownership of content and assets you provide; you grant us a licence to use them to deliver the project.
- Deliverables: Upon full payment, we grant you a non‑exclusive, perpetual licence to use the deliverables for your business. Pre‑existing tools, libraries and frameworks remain owned by their respective licensors.
- Portfolio: We may showcase non‑confidential work in our portfolio unless you reasonably object in writing.
8. Third‑party services
We may integrate third‑party services (e.g., hosting, analytics, payment gateways). Your use of such services is subject to those providers’ terms and privacy policies. We are not responsible for third‑party outages or changes.
9. Warranties & disclaimers
- We warrant that services will be performed with reasonable care and skill.
- Except as expressly stated, we disclaim all other warranties, express or implied, including fitness for a particular purpose and non‑infringement.
- We do not warrant specific rankings, traffic, revenue, or uninterrupted availability.
10. Limitation of liability
To the maximum extent permitted by law, we are not liable for indirect or consequential loss, loss of profits, data, revenue or business. Our total aggregate liability for any claim arising out of or relating to the services or these Terms shall not exceed the fees you paid to us for the service giving rise to the claim in the 12 months preceding the event.
11. Indemnity
You agree to indemnify us against claims arising from content or materials you supply, your misuse of the site/services, or breach of these Terms.
12. Suspension & termination
- Either party may terminate for material breach not remedied within 14 days of notice.
- We may suspend services for non‑payment or suspected misuse.
- On termination, you must pay for work completed to date and any committed third‑party costs.
13. Data protection
We handle personal data in accordance with our Privacy Policy. Where we process personal data on your behalf, we will agree appropriate data processing terms if required.
14. Support & maintenance
Post‑launch support is available via an optional care plan (backups, updates, uptime monitoring). Unless stated in your SOW, ongoing maintenance is not included in project fees.
15. Changes to these terms
We may update these Terms from time to time. Material changes will be posted on this page with a new “Last updated” date. If you continue to use the site or services after the change, you accept the updated Terms.
16. Governing law & jurisdiction
These Terms are governed by the laws of England and Wales, and the courts of England and Wales shall have exclusive jurisdiction, except that we may seek injunctive relief in any jurisdiction.
